General Terms and Conditions (GTC) of Honpe ProtoTec GmbH
1. Scope
1.1 These General Terms and Conditions (GTCs) apply to all contracts, deliveries, and services provided by HONPE ProtoTec GmbH, Rudolf-Diesel-Str. 12, 85221 Dachau, Germany (hereinafter referred to as "HONPE"), in connection with the purchase and sale of milled parts for customer orders and the delivery of goods to the buyer (hereinafter referred to as "Customer").
1.2 Deviating terms and conditions of the Customer that differ from these GTCs will not be recognized unless HONPE has explicitly agreed to them in writing.
2. Conclusion of Contract
2.1 The presentation of products on the website or other sales channels does not constitute a binding offer. Only the Customer's order represents a binding offer.
2.2 A contract is concluded only upon written confirmation of the order by HONPE or upon delivery of the goods.
3. Prices and Payment Terms
3.1 All prices are quoted in euros and include statutory VAT unless otherwise stated.
3.2 Payment shall be made, unless otherwise agreed, via bank transfer to the account specified on the invoice. Invoices are payable without deduction within 14 days of receipt of goods.
3.3 In case of payment default, HONPE is entitled to charge interest on arrears at a rate of 9 percentage points above the base interest rate.
4. Delivery and Shipping
4.1 Delivery is made to the address specified by the Customer. The delivery includes all products manufactured and supplied by HONPE as part of customer orders, including but not limited to prototype parts, milled parts, and small-series production parts.
4.2 Delivery times are non-binding unless expressly agreed as binding. Delivery times are indicated to the best of knowledge but without guarantee.
4.3 Shipping is at the Customer's risk. HONPE is liable only for damages caused during transport due to its own fault. HONPE assumes no liability for delays caused by third parties (e.g., shipping service providers).
4.4 If delivery cannot be made or is delayed due to unforeseen events or force majeure, HONPE reserves the right to postpone delivery for an appropriate period. Force majeure includes strikes, natural disasters, war, pandemics, and similar unforeseeable events.
5. Retention of Title
5.1 The goods remain the property of HONPE until full payment of the purchase price has been made.
6. Warranty and Liability
6.1 HONPE warrants that the delivered milled parts are free from material and manufacturing defects at the time of delivery.
6.2 The Customer is obliged to inspect the goods immediately upon receipt for defects and notify HONPE in writing within 14 days of any defects; otherwise, the goods shall be deemed approved.
6.3 In case of defects, the Customer has a right to subsequent performance. If this fails, the Customer may withdraw from the contract or reduce the purchase price.
6.4 HONPE is liable only for damages caused by intentional or grossly negligent conduct by HONPE or its agents.
7. Data Protection
7.1 HONPE processes personal data of Customers only in accordance with applicable data protection laws. For further information, please refer to our Privacy Policy.
8. Final Provisions
8.1 German law applies, excluding UN sales law.
8.2 The place of jurisdiction for all disputes arising from this contractual relationship is Munich, insofar as legally permissible.
8.3 Should any provision of these GTCs be invalid or become invalid, this shall not affect the validity of the remaining provisions. The parties undertake to replace an invalid provision with a legally permissible regulation that comes closest to the economic purpose of the invalid provision.
